Windows 2k Install

I will buy a Win 2k OEM CD to install on a computer with Win 2k that has
problems

Q1. Must I delete the old Win 2k (WINNT folders etc)before doing the
Setup/Install ?
Q1a. Does the New Install REPLACE/OVERWRITE the old files etc or not ?
Q2.Is it possible to Install the new Win 2k WITHOUT wiping out all other
programs
    like ROXIO 6, ZTREE etc. If so HOW (Step by step info please)

Do not buy OEM version but Retail one instead and you're safe: mustn't
delete anything, the old files will be updated, and the applications will
stay intact.

OEM distro is for the computers without an operating system.
