on my win2K sp4 system, the .net refuses to install via windows
update, despite attempting multiple times from admin account.
It downloads fine, then states "failed".  How to fix or even
diagnose what went wrong?

Try downloading the "dotnetfx.exe" file and install manually from it.
You'll get a little more info as to why it is failing.
