I have a copy of Windows 2000 Upgrade that I am thinking of giving to a
friend.  I no longer have Windows 2000 installed on my computer and have no
need for this disc.  Would I need to inform Microsoft of this so that he
could use the Windows Update?

Give him all the stuff that came in the package, and you are good to go.
Microsoft doesn't care or need to know.
