The downloads you get are not in any file system, but rather are just
"plain" files that will fit on whatever you have installed. The file
system in use does not have anything to do with how or what you
download.
The problem with the Rockwell modem versus Windows 2000 is apparently a
known issue (see
http://support.microsoft.com/default.aspx?scid=kb;en-us;318720). If you
aren't able to make the BIOS change suggested in that article (be
careful, noting the warning in the KB article) you likely won't be able
to use your current modem. So, yes, you will need to get another modem
that works with Win2000.
