Exchange 2003 - 2007 migration questions

BlankI administrator a small organization of less than 50 employees (3
domain AD forest) in two locations and have an existing exchange 2003 server
(forest root DC, GC, etc.) with no room on the system drive - no service
packs for win2k3 or exchange due to no space.  I have 2 AD sites but only 1
exchange server - T1 connectivity across the AD sites.  I purchased new
hardware in the intent of installing exchange 2007 - one server containing
all the roles and no edge server.  I will use a hardware or hosted filering
option in place of the edge role.  The plan is to join the exchange 2007 box
to the existing organization, move the existing mailboxes to 2007 and
decomission the old exchange box.  Several questions-

1.  Is win2k3 sSP1 and Exchange 2k3 SP2 required to migrate?  My other DC in
the forest root has Win2k3 SP1 so I can move the schema master role to it.
2.  Is it an absolute requirement to have a mailbox server in the other AD
site?   Cost is definately an issue.

I could move the other site in to the default first-site container to
circumvent the mailbox server requirement in the other site if needed but of
course the replication would increase.  Any help or suggestions are
appreciated

You only need a single mailbox server, moving from 2003 to 2007
doesn't increase the number of mailbox servers you need.

As for the SP requirements on the Exchange, that's an interesting one.
I'd need to look that up, and will do so. I haven't encountered anyone
with insufficient space to install the SP but has managed to purchase
new kit.
