How to setup Backup Exchange server?

Hi,
I would like to set up a backup exchange server in case of my Primary mail
server goes down so my secondery mail server holds all emails and then when
Primay back online then secondery mail server forwards all emails to Primary
server. I have Exchange 5.5 and plaining to migrate Exchange 2003.

Exchange does not do this "out of the box".  You might want to look at a
product like NSI's Doubletake or XOSoft's WANSyncHA (just to name a few.
