I want to migrate from Ex55 to Ex2003. My issue is my Ex2003 is in Native
Mode and I want the AD to replicate with Ex55. They will be on two different
forest. I was wondering if it possible to use ADC and it still replicate the
two even though Ex2003 is in Native Mode. If I cannot use ADC is there any
other tool I can use.

The ADC will do what you want.  It's configured with interorg CA's and will
create contacts to represent the 5.5 users and will create CR's for the 2003
recipients.  This is the same as a multi-forest migration or a merger
migration of two orgs, so you should be able to find some docs at
http://www.microsoft.com/exchange/library to help out.
