To upgrade from Exchange 2000 on Windows 2000 you have to make sure you are
running Windows 2000 SP3 on your domain controllers and then you can upgrade
one or all of your exchange servers. If you upgrade, be sure to do Exchange
first since Exchange 2003 can run on Windows 2000, but Exchange 2000 can not
run on Windows 2003.
Article 822942 is a good place to start.
